Terms & Conditions

These terms of service ("the Agreement") constitute a legal agreement between you (either an individual or entity) and GlobalRoam Pte Ltd, a Singapore registered limited company, having its registered office at Singapore, 100 Lorong 23 #08-01 D'Centennial, Singapore 388398 ("GlobalRoam"). You are in the process of using the products and services owned by GlobalRoam ("GlobalRoam's Products and Services") and provided to you under these terms and conditions and any amendments thereto and any operating rules or policies that may be published from time to time by GlobalRoam. BY COMPLETING THE REGISTRATION PROCESS AND CLICKING THE "I ACCEPT" BUTTON OR BY USING THE GLOBALROAM'S PRODUCTS AND SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, CLICK THE "NO" BUTTON BELOW AND DO NOT USE THE GLOBALROAM'S PRODUCTS AND SERVICES.

1. RESTRICTIONS. You shall not use any GlobalRoam's Products and Services for illegal or unauthorized purposes or for the transmission of any material that is unlawful, harassing, defamatory, slanderous, libelous, obscene, threatening, harmful, that portrays any person in a false light, that constitute an invasion of any right to privacy or an infringement on any right to publicity, that gives rise to any breach of contract involving any third party or to any business tort or similar claim of a third party or any violation of any local or foreign, federal, state or local statute or regulation, or that otherwise can be reasonably likely to expose GlobalRoam or its agents to criminal or civil actions, or that infringes or may infringe the intellectual property or other rights of another, or for the transmission of "junk mail", "spam", "chain letters", or unsolicited mass distribution of messages or use any GlobalRoam's Products and Services to collect or harvest personal information about other users or for any other objectionable purposes.

2. TERM. GlobalRoam may in its sole discretion terminate this Agreement and your account with GlobalRoam at any time without notice, if it believes you have in any way breach any terms and conditions of this Agreement or violated or acted inconsistently with the letter or spirit of this Agreement or violated the rights of GlobalRoam or other users or third parties, provided that if such termination without notice is expressly prohibited by any applicable law, then such termination shall occur based upon notice from GlobalRoam in the event of any breach. Please report any violations of the terms and conditions to cs@globalroam.com .

3. DESCRIPTION OF SERVICES. GlobalRoam's Products and Services enable you with the capability to send and receive electronic messages, faxes, voice messages, make long distance or international phone calls and access Internet services.

4. LIMITATION. To Use the GlobalRoam's Products and Services, you shall provide for your own access to the World Wide Web and pay any service fees associated with such access, and provide all equipment necessary for you to make such connection to the World Wide Web, including a computer and modem. You hereby acknowledge that GlobalRoam provides no assistance, including any technical or customer support, to you, and that your use of the GlobalRoam's Products and Services is of your own volition.

5. REGISTRATION OBLIGATIONS. You shall provide, or you acknowledge that you have provided, true, accurate, current and complete information about yourself in the Customer Registration form ("User Data") and to maintain and update this information to keep it true, accurate, current and complete. If any information provided by you is untrue, inaccurate, not current or incomplete, GlobalRoam has the right to terminate this Agreement and refuse to provide any and all current or future GlobalRoam's Products and Services to you.

6. EXTERNAL CHARGES. You shall be solely responsible for any and all charges incurred due to your use of a local access number or any wireless device including, but not limited to a cellular phone.

7. USE OF USER DATA. GlobalRoam may disclose User Data to carefully screened companies that may offer GlobalRoam's Products and Services. GlobalRoam will not disclose to third parties billing information or account access information except as authorized by you or your representative or as required by law or legal process, or as set forth in paragraph 9 below. If you prefer not to receive any offers of information, please inform cs@globalroam.com

8. VARIATION OF TERMS AND CONDITIONS. GlobalRoam may at its sole discretion change the terms and conditions of this Agreement from time to time. You shall be notified of any such changes by a startup screen describing the changes. By clicking on the "I Accept" button that follows the posted changes, you agree to be bound by the modification to this Agreement. If you do not click the "I Accept" button, you will not be entitled to use the changes in the GlobalRoam's Products and Services. ANY AND ALL TERMS HEREIN, INCLUDING WITHOUT LIMITATION, CALLING RATES, CAN BE CHANGED OR OTHERWISE MODIFIED BY GLOBALROAM WITHOUT ANY REASONS WHATSOEVER.

9. PRIVACY POLICY. GlobalRoam considers any and all messages transmitted via the GlobalRoam's Products and Services to be private communication between you and your intended recipient. GlobalRoam will not monitor, edit or disclose the content of your private communications, except in the following circumstances: as required by law; to comply with legal process; is necessary to enforce this Agreement; to respond to claims that you violated the rights of third-parties; or to protect the rights or property of GlobalRoam or others. GlobalRoam does not endorse the content of any of your transmissions/communications and GlobalRoam shall not be responsible or liable for any unlawful, harassing, libelous, privacy invading, abusive, threatening, harmful, vulgar, obscene, tortuous, of otherwise objectionable content, or content that infringes or may infringe upon the intellectual property or other rights of another.

10. ACCOUNT, PASSWORD, AND SECURITY. Accounts and credits that are not activated within 6 MONTHS (with effect from the DATE you register for GlobalAccount and the DATE you top up your credits) will be DEACTIVATED. You shall choose your Mobile number and PIN and/or password with which to log into your account upon completing the customer registration process. You shall be responsible for maintaining the confidentiality of the PIN and/or password, and shall be fully responsible for all activities that occur under your account. You shall immediately notify GlobalRoam at cs@globalroam.com of any unauthorized use of your PIN and/or password or account or any other breach of security. In the event of unauthorized use of your credit card, you shall notify your credit card provider immediately.

11. PROMOTIONAL REFERRALS. In the event that you have accepted our promotional offer, you can refer friends and family members to the same promotional offer. The referrals will receive an unsolicited commercial email indicating that you have referred them. Referrals that do not sign up with GlobalRoam will not receive regular newsletters of upcoming promotions and new product information.

12. INDEMNITY. You shall indemnify and hold GlobalRoam, and its subsidiaries, affiliates, officers, and employees, harmless from any claim or demands, including reasonable attorney's fee, made by any third party because of or arising out of your use of the GlobalRoam service, your connection to the GlobalRoam services, your violation of any terms and conditions of this Agreement, or your violation of any right of third parties.

13. NO RESALE OF SERVICES. You shall not resell the GlobalRoam's Products and Services or use of or access to the GlobalRoam's Products and Services unless otherwise permitted by GlobalRoam. Any person or entity that resells any products and services owned by GlobalRoam with out the permission of GlobalRoam may be subject to civil action and/or criminal penalty as prescribed by law.

14. DEALING WITH ADVERTISERS. Your correspondence with or participation in any promotion of advertisers found on the GlobalRoam's Products and Services, including payment and delivery of related goods and/or services, and any other terms, conditions, warranties or representations associated with such dealings are solely between you and such advertiser. You shall not hold GlobalRoam liable for any loss or damage of any kind incurred as the result of any such dealing with any advertises or as the result of the presence of such advertisers on the GlobalRoam's Products and Services.

15. PROPRIETARY RIGHTS. You acknowledge and agree that material, including but not limited to text, software, music, sound, photographs, graphics, video, or other material of the GlobalRoam's Products and Services or those contained in sponsor advertisements or information presented to you through the GlobalRoam's Products and Services or advertisers is protected by copyrights, trademarks, service marks, patents, or other proprietary rights and laws. In addition, you acknowledge and agree that you are permitted to use these materials and information only as expressly authorized by GlobalRoam or the said advertisers, and may not copy, reproduce, transmit, distribute, or create derivative works of such content or information without express written authorization.

16. WARRANTIES. You expressly acknowledge and agree that as concerns GlobalRoam and/or any of its licensors, the use of the GlobalRoam's Products and Services is at your own sole risk. THE GLOBALROAM'S PRODUCTS AND SERVICES HAVE BEEN PROVIDED BY GLOBALROAM SOLELY IN THE FORM OF MIDDLEWARE, "AS IS," AND WITHOUT WARRANTY BY GLOBALROAM AND/OR ANY OF ITS LICENSORS OF ANY KIND, AND, TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, GLOBALROAM AND/OR ANY OF ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, OR ANY WARRANTY OF NON-INFRINGEMENT. THERE IS NO WARRANTY THAT THE FUNCTIONS CONTAINED IN THE GLOBALROAM'S PRODUCTS AND SERVICES WILL MEET YOUR REQUIREMENTS, OR THAT THE OPERATION THEREOF WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. GLOBALROAM AND/OR ANY OF ITS LICENSORS DO NOT WARRANT, GUARANTEE, OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF GLOBALROAM'S PRODUCTS AND SERVICES WITH RESPECT TO THEIR PERFORMANCE, ACCURACY, RELIABILITY, SECURITY CAPABILITY, CURRENTNESS OR OTHERWISE. NOR DOES GLOBALROAM MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE GLOBALROAM SERVICES OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE GLOBALROAM SERVICES OR THAT DEFECTS IN THE GLOBALROAM PRODUCTS WILL BE CORRECTED. NEITHER GLOBALROAM NOR ANY OF GLOBALROAM'S INFORMATION PROVIDERS OR IMPLIED, CONCERNING THE ACCURACY, CURRENTNESS OR RELIABILITY OF THE MESSAGES RECEIVED OR REQUESTED VIA THE GLOBALROAM SERVICES OR ANY OF THE INFORMATION, MATERIAL OR CONTENT CONTAINED THEREIN. ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF OR FROM THE GLOBALROAM'S PRODUCTS AND SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL AND/OR DATA. GLOBALROAM MAKES NO WARRANTY AND SHALL NOT BE LIABLE FOR ANY GOODS, SERVICES, INFORMATION OR OTHER MATERIAL DISPLAYED, PURCHASED OR OBTAINED THROUGH OR FROM THE GLOBALROAM'S PRODUCTS AND SERVICES OR ANY TRANSACTION ENTERED INTO THROUGH THE SAID PRODUCTS AND SERVICES. GLOBALROAM SHALL NOT BE LIABLE FOR ANY DELAYS, OMISSIONS OR ERRORS IN THE MATERIAL AND SHALL NOT BE LIABLE FOR ANY RELIANCE THEREON. YOU UNDERSTAND AND AGREE NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY ANY PERSON SHALL CREATE A WARRANTY IN ANY WAY WHATSOEVER RELATING TO GLOBALROAM AND/OR ANY OF ITS LICENSORS. THE ENTIRE RISK AS TO THE USE, PERFORMANCE AND RESULTS OF GLOBALROAM'S PRODUCTS AND SERVICES IS ASSUMED BY YOU. THE EXCLUSION OF IMPLIED WARRANTIES IS NOT PERMITTED BY SOME JURISDICTIONS AND THUS, THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

17. FURTHER LIMITATION OF LIABILITY. In addition to the other provisions hereof, YOU ACKNOWLEDGE TO AND FOR GLOBALROAM'S BENEFIT AND THE BENEFIT OF ITS DIRECTORS, EMPLOYEES, LICENSORS, AND AGENTS ("AGENTS") THAT THE GLOBALROAM'S PRODUCTS AND SERVICES, AS WITH MOST INTERNET SERVICES, MAY CONTAIN BUGS AND IS NOT DESIGNED OR INTENDED FOR USE IN HAZARDOUS ENVIRONMENTS REQUIRING FAIL-SAFE PERFORMANCE IN WHICH THE FAILURE OF THE APPLICATION SOFTWARE COULD LEAD TO DEATH, PERSONAL INJURY OR PHYSICAL OR ENVIRONMENTAL DAMAGE. GLOBALROAM AND ITS AGENTS SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY LOSS SUFFERED AS THE RESULT OF A BREACH OF SECURITY INVOLVING GLOBALROAM'S PRODUCTS AND SERVICES, WHETHER OR NOT SUCH BREACH RESULTS FROM THE DELIBERATE, RECKLESS, OR NEGLIGENT ACTS OF ANY PERSON. UNDER NO CIRCUMSTANCES SHALL GLOBALROAM OR ITS AGENTS BE LIABLE FOR ANY UNAUTHORIZED USE OF ANY CONTENT OF ANY PERSON, OR ANY USE OF THE SOFTWARE TO DEVELOP, DISTRIBUTE, OR USE ANY MATERIAL THAT IS DEFAMATORY, SLANDEROUS, LIBELOUS OR OBSCENE, THAT PORTRAYS ANY PERSON IN A FALSE LIGHT, THAT CONSTITUTES AN INVASION OF ANY RIGHT TO PRIVACY OR AN INFRINGEMENT OF ANY RIGHT TO PUBLICITY, THAT GIVES RISE TO ANY BREACH OF CONTRACT INVOLVING ANY THIRD PARTY OR TO ANY BUSINESS TORT OR SIMILAR CLAIM OF A THIRD PARTY OR ANY VIOLATION OF ANY FOREIGN, FEDERAL, STATE OR LOCAL STATUTE OR REGULATION, OR THAT OTHERWISE CAN BE REASONABLY LIKELY TO EXPOSE GLOBALROAM OR ITS AGENTS TO CRIMINAL OR CIVIL ACTIONS. IN NO EVENT WILL GLOBALROAM OR ITS AGENTS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OR INABILITY TO USE THE GLOBALROAM'S PRODUCTS AND SERVICES, EVEN IF GLOBALROAM AND/OR ITS AGENTS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME JURISDICITONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. TO THE EXTENT AS APPLIED IN A PARTICULAR CIRCUMSTANCE ANY DISCLAIMER OR LIMITATION ON DAMAGES OR LIABILITY SET FORTH HEREIN IS WHOLLY PROHIBITED BY APPLICABLE LAW, THEN, INSTEAD OF THE PROVISIONS HEREOF IN SUCH PARTICULAR CIRCUMSTANCE, GLOBALROAM SHALL BE ENTITLED TO THE MAXIMUM DISCLAIMERS AND/OR LIMITATIONS ON DAMAGES AND LIABILITY AVAILABLE AT LAW OR IN EQUITY BY SUCH APPLICABLE LAW IN SUCH PARTICULAR CIRCUMSTANCE, AND IN NO EVENT TO EXCEED US$10.

18. MESSAGES RELATING TO FINANCIAL NEWS. If you receive any news, messages, alerts or other information from the GlobalRoam's Products and Services concerning companies, stock quotes, investments, securities, or other financial information, paragraphs 17 and 18 shall apply with full force and effect. The content and material contained in messages of any kind from the GlobalRoam's Products and Services are provided for informational purposes only, and are not intended for trading purposes. GlobalRoam shall not be responsible for the content or accuracy of any information transmitted via GlobalRoam's Products and Services, and shall not be responsible for any trading or investment decisions made based on such information.

19. REMEDIES. You acknowledge and agree that any unauthorized use of GlobalRoam's Products and Services would result in irreparable injury to GlobalRoam for which money damages would be inadequate and in such event GlobalRoam shall have the right, in addition to other remedies available at law and in equity, to immediate injunctive relief to prevent any such unauthorized use. Nothing contained in this paragraph or elsewhere in this Agreement shall be construed to limit remedies or relief available pursuant to statutory or other claims that GlobalRoam may have under separate legal authority, including but not limited to, any claim for intellectual property infringement.

20. NOTICE. Any notice to you in relation to the GlobalRoam's Products and Services, to the extent that GlobalRoam determines in its sole discretion that such notice be disseminated, shall be made via either voice mail or electronic mail. The services may also provide notices of changes to GlobalRoam or other matters by displaying notices generally on the GlobalRoam's Products and Services.

21. GENERAL. GlobalRoam and the relationship between you and GlobalRoam shall be governed by the laws of the Republic of Singapore without regard to its conflict of law provisions. You and GlobalRoam agree to submit to the exclusive jurisdiction of the courts of the Republic of Singapore. The failure of GlobalRoam to exercise or enforce any right or provision of this license shall not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of this Agreement remain in full force and effect. You agree that regardless of any statute of law to the contrary, any claim or cause of action arising out of or related to the use of the GlobalRoam's Products and Services or this Agreement must be filed within one year after such claim or cause of action arose or be forever barred. The section titles in this Agreement are for convenience only and have no legal or contractual effect.

22. REFUNDS. It is GlobalRoam's policy not to provide refunds. In circumstances where GlobalRoam's service provision is in dispute, GlobalRoam may terminate accounts and refund the customer, however, GlobalRoam evaluates such disputes on a case-to-case basis. In order to request for a refund, you must inform GlobalRoam in writing or via email within 7 days of GlobalRoam's alleged service failure.
